These terms govern your use of www.signalspecialty.com. Please read them. The short version: this site is here to tell insurance professionals about what we are building and to let them register their interest. It is not a place to buy, bind or quote insurance, and nothing on it is advice.
1. Acceptance of these terms
By accessing or using this website you agree to these Terms of Service. If you do not agree to them, please do not use the site. If you are using it on behalf of an agency or other organization, you are agreeing to these terms on that organization’s behalf and confirming that you are authorized to do so.
2. Who we are
In these terms, “Signal Specialty,” “we,” “us” and “our” mean Signal Specialty, Inc. and its affiliates, including Signal Specialty Insurance Services, LLC, the operating entity through which our insurance activities are conducted. Our mailing address is 25 Bridge Street, Red Bank, New Jersey 07701. “You” means the person using this website and, where applicable, the organization on whose behalf they are using it.
3. What this website is, and is not
This website is informational. It describes who we are, what we are building, and how to tell us you are interested.
Nothing on this website:
- is an offer to sell, solicit, bind, place or renew any policy of insurance or any surety obligation;
- is a quote, an indication, a binder, a certificate, or evidence of coverage of any kind;
- is insurance, legal, tax, financial or other professional advice, or a recommendation that you take or refrain from any course of action;
- creates a broker, producer, agency or appointment relationship between you and us; or
- grants any binding authority, underwriting authority or claims authority to anyone.
Coverage is only ever provided by an issued policy, on the terms of that policy, and by the insurer that issues it.
4. Our programs are in development
Our programs and our platform are being built. Descriptions of them on this site — appetite, states, lines of business, timing, capabilities — describe what we intend to offer. They are subject to change, to regulatory approval, and to completion, and they may change materially or not launch at all. Nothing here is a commitment that any program, feature, state or line of business will become available, or become available on a particular date.
5. Who may use this website
This site is intended for insurance and business professionals — licensed agencies, brokerages, carriers and technology partners — using it for business purposes. You must be at least 18 years old. It is not intended for consumers shopping for insurance, and it is not intended for children.
6. Pre-registration
Pre-registering your agency tells us you would like to hear from us when our programs reach your states and lines of business. It is an expression of interest, and nothing more.
Specifically, pre-registering:
- does not appoint your agency, and does not create any agency, producer, brokerage or distribution agreement between us;
- does not grant your agency any authority to quote, bind, issue or service business on our behalf;
- does not obligate us to appoint you, to accept any submission, or to offer terms of any kind; and
- does not obligate you to do business with us.
Any appointment or business relationship that follows will be governed by a separate written agreement, and will depend on licensing, regulatory requirements and our own review. We may decline any pre-registration, for any lawful reason or none, and we may discontinue pre-registration at any time.
7. Information you submit
You agree that everything you submit through this website is accurate, current and complete to the best of your knowledge, that you are authorized to submit it, and that submitting it does not breach anyone else’s rights or any duty of confidentiality you owe. This matters more here than on an ordinary website: licensing details, producer numbers, errors-and-omissions coverage and the attestations in the pre-registration form are things we rely on.
Please do not send us anyone’s sensitive personal information through this website — no Social Security numbers, no financial account or payment card numbers, no government identification numbers, and no health information. We do not ask for any of it, and this site is not the right channel for it.
You keep ownership of what you submit. You grant us a non-exclusive right to use it for the purposes described in these terms and in our Privacy Policy.
8. Acceptable use
You agree not to:
- use this website for any unlawful purpose, or in a way that breaches any insurance, privacy, anti-spam or export law;
- submit information that is false, misleading, fraudulent, or submitted in someone else’s name without their authority;
- impersonate any person or organization, or misrepresent your affiliation with one;
- upload or transmit anything malicious — malware, or code intended to interfere with the site or with anyone using it;
- probe, scan or test the vulnerability of this site or any related system, or breach or circumvent any security or authentication measure, except through the coordinated disclosure route described in section 21;
- interfere with or disrupt the site, or place an unreasonable load on it;
- copy, reproduce, republish, frame or mirror any substantial part of the site, or use it to build a competing product; or
- encourage or help anyone else do any of these things.
9. Automated access
You may not use bots, scrapers, crawlers or other automated means to access this website, extract data from it, or submit anything through it, except that well-behaved search engine crawlers may index the public pages in accordance with our robots.txt file.
This site uses technical controls to detect and stop automated abuse, including rate limiting at the network edge and measures on the pre-registration form that distinguish a person from a script. You agree not to interfere with, disable or attempt to defeat any of them. We may block or restrict access to anyone who does, or whose traffic threatens the availability of the site.
10. Communications
If you pre-register, you agree that we and our representatives may contact you at the email address and telephone number you provide about your registration and any resulting business relationship, and that we may deliver notices, disclosures, agreements and other records to you electronically. You may withdraw that agreement as described in our Privacy Policy. Certain communications may still be delivered by mail where the law requires it.
To receive and keep electronic records you need a device with internet access, a current browser, an email account, and the ability to read and save PDF files.
11. Intellectual property
This website and everything on it — text, layout, graphics, logos, icons, code and the arrangement of it all — is owned by Signal Specialty or its licensors and is protected by copyright, trademark and other laws. We grant you a limited, revocable, non-exclusive, non-transferable license to view and use the site for your own internal business purposes, and nothing more.
Signal, Signal Specialty, the Signal marks and logos, and Signal — One Frequency, Every Carrier are our trademarks. You may not use them without our prior written permission.
The typefaces used on this site are licensed, not ours to give away. The Söhne family is licensed to us from Klim Type Foundry for use on signalspecialty.com. The font files served by this site may not be downloaded, extracted, copied, redistributed or used for any other purpose, on any other site or in any other work.
If you believe something on this site infringes your copyright, write to us at the address in section 21 identifying the work, the material you say infringes it, and how to reach you, and we will investigate.
12. Feedback
If you send us suggestions, ideas or feedback about our website, our programs or our platform, we may use them freely, for any purpose, without obligation or compensation to you. Please do not send us anything you consider confidential or proprietary through this website.
13. Third-party services and links
This site links to websites we do not operate and uses services provided by other companies — including a live chat service provided by Crisp, which appears as a chat window on our pages. We do not control those websites or services, we are not responsible for their content, availability or practices, and a link is not an endorsement. Your use of a third-party service is governed by that company’s own terms and privacy policy. Our Privacy Policy explains what chat stores in your browser and why.
14. Privacy
Our Privacy Policy explains what information we collect through this website and how we handle it. It forms part of these terms.
15. Disclaimer of warranties
This website is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.
We do not warrant that the site will be uninterrupted, timely, secure or error-free, that defects will be corrected, or that the site is free of harmful components. We take care to keep the information here accurate and current, but we do not warrant that it is complete, accurate or up to date, and we may change or remove any of it at any time.
Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.
16. Limitation of liability
To the fullest extent permitted by law, neither Signal Specialty nor its officers, directors, employees, agents or service providers will be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunity, arising out of or relating to your use of this website — whether the claim is brought in contract, tort, strict liability or otherwise, and even if we have been advised that such damages are possible.
To the fullest extent permitted by law, our total liability for all claims relating to this website will not exceed one hundred US dollars (US$100).
Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
These limits apply to this website only. They do not limit the obligations of any insurer under a policy it issues, and they do not limit our obligations under any separate written agreement we enter into with you.
17. Indemnification
You agree to indemnify and hold harmless Signal Specialty and its officers, directors, employees and agents from any claim, loss, liability, cost or expense (including reasonable legal fees) arising out of your use of this website, your breach of these terms, your violation of any law, or your infringement of anyone else’s rights. We may take over the defence of any such claim at our own expense, and you agree to cooperate with us if we do.
18. Changes
We may change, suspend or discontinue this website, or any part of it, at any time. We may also update these terms; when we do, we will change the effective date at the top of the page. Changes apply from the date they are posted, and your continued use of the site after that means you accept them. If a change materially affects your rights, we will take reasonable steps to make it noticeable rather than relying on you to re-read the page.
19. Governing law and venue
These terms and any dispute arising out of them or out of your use of this website are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules.
You and we agree that any such dispute will be brought exclusively in the state or federal courts located in Monmouth County, New Jersey, and you consent to the personal jurisdiction of those courts and waive any objection to venue there.
20. General
- Severability. If any provision of these terms is held unenforceable, it will be limited or removed to the minimum extent necessary and the rest will remain in effect.
- No waiver. If we do not enforce a provision, that is not a waiver of our right to enforce it later.
- Assignment. You may not assign or transfer these terms without our written consent. We may assign them to an affiliate or in connection with a financing, merger, acquisition or sale of our business.
- No third-party beneficiaries. These terms are between you and us, and give no rights to anyone else.
- Entire agreement. These terms and our Privacy Policy are the entire agreement between you and us about this website, and supersede anything said or written about it before. They do not supersede any separate written agreement between us, which controls to the extent it conflicts with these terms.
- Survival. Sections 7, 11, 12 and 15 through 20 survive any end of your use of this website.
